Jonathan B. Mirsky is a partner specializing in preparing and negotiating contracts in the telecommunications and media industries, advising on communications regulation and licensing in connection with structuring corporate transactions, and providing corporate and commercial advice.

Communications Agreements. Mr. Mirsky has extensive experience preparing and negotiating agreements specific to the telecommunications and media industries. Mr. Mirsky has prepared and negotiated cable landing station agreements, subsea cable system IRU agreements, wireless resale/MVNO agreements, spectrum lease agreements, satellite transponder purchase agreements, terrestrial fiber IRU agreements, utility pole attachment agreements, wireline intercarrier agreements, local marketing agreements, and video relay service license agreements.

In advising clients on communications agreements, Mr. Mirsky draws upon his past experience representing mobile and fixed terrestrial wireless, broadcasting, wireline, satellite, and equipment manufacturing companies in licensing, rulemaking, complaint, and other proceedings before the Federal Communications Commission. Mr. Mirsky also draws upon his significant experience drafting commercial contracts and intellectual property agreements. By combining his telecommunications regulatory and transactional background, Mr. Mirsky is able to provide clients with the specialized skills and experience necessary to complete complex commercial transactions in the communications industry.Communications Regulation and Licensing. Mr. Mirsky’s communications regulatory practice emphasizes counseling clients on Federal Communications Commission and state public service commission matters in connection with structuring corporate transactions, including mergers, acquisitions, and financings. He advises clients on the FCC’s rules addressing transfers of control, foreign ownership, media ownership attribution, auction designated entities, and investor protection. He has experience addressing FCC and PSC issues arising from bankruptcy and corporate restructuring. As part of his communications regulation and licensing practice, Mr. Mirsky provides FCC advice to lenders in the telecommunications and media industries, including preparing and negotiating FCC-related provisions of loan documentation.

Corporate and Commercial. Mr. Mirsky also provides general corporate and commercial advice. Mr. Mirsky structures and negotiates mergers and acquisitions and other business combinations for companies providing cable and satellite programming, broadcast television and radio, information technology, and business consulting. Mr. Mirsky prepares and negotiates general commercial contracts, including supply and customer contracts and employment agreements. For new ventures, Mr. Mirsky provides counseling on formation and governance, securities and financing, and protecting intellectual property. Mr. Mirsky also prepares and negotiates intellectual property licensing agreements.

Mr. Mirsky received his law degree from Yale Law School and clerked for Judge Ralph K. Winter on the U.S. Court of Appeals for the Second Circuit. Mr. Mirsky graduated summa cum laude from Union College and completed the General Course at the London School of Economics. He is a member of the bars of the District of Columbia, Maryland, and New York.
